BLACKWARD offers this website, including all information, tools, products and services available through this site, to you conditioned upon your acceptance of these Terms of Service and all other policies referenced herein.

Our online store is hosted by Shopify. Shopify provides the e-commerce platform that enables us to sell our products to you. However, Shopify is not the seller of the products offered through this Store. Any contract for the purchase of BLACKWARD products is entered into directly between you and BLACKWARD.

By visiting our Store, browsing our website, creating an account, placing an order, purchasing a product or otherwise using any part of our services, you agree to be bound by these Terms of Service.

Please read these Terms carefully before accessing or using our Store.

If you do not agree to these Terms, you must not use our Store or purchase products from us.

These Terms apply together with our Privacy Policy, Refund & Returns Policy, Shipping Policy, Legal Notice and any other policies or notices published on our Store.

Nothing in these Terms is intended to exclude, restrict or limit any mandatory consumer right that cannot legally be excluded under applicable law.

BLACKWARD is responsible for the products sold through this Store, order fulfilment, customer service, refunds and other obligations arising from the contract between BLACKWARD and the customer.

Shopify provides technological infrastructure to operate the Store but is not the seller or contracting party in relation to purchases of BLACKWARD products.


2. ELIGIBILITY TO USE THE STORE

By using this Store or placing an order, you represent that you have the legal capacity to enter into a binding contract under the laws applicable to you.

If you are under the legal age required to enter into contracts in your country or territory, you may only use the Store with the involvement and authorization of a parent or legal guardian where legally permitted.

You may not use our products or services for any illegal or unauthorized purpose.

You must not violate any applicable law, regulation or third-party right in connection with your use of the Store.


3. PRODUCTS

BLACKWARD sells clothing, accessories and other products displayed on the Store from time to time.

We reserve the right to add, modify, suspend or discontinue products at any time, subject to existing contractual obligations and applicable law.

All products are subject to availability.

We may limit the quantities of products available for purchase per person, household, account, payment method, billing address, shipping address or order where reasonably necessary to prevent fraud, unauthorized resale, stock manipulation or abuse of promotions.

Any such limitation will not affect mandatory consumer rights.


4. PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, photographs, sizing information, specifications, prices and other information displayed on the Store are accurate.

However, colors and visual appearance may vary slightly depending on screen calibration, device settings, lighting, photography and manufacturing tolerances.

Minor differences that do not constitute a lack of conformity under applicable consumer law shall not automatically entitle a customer to remedies beyond those provided by law.

Product measurements may contain reasonable manufacturing tolerances.

Customers should review the relevant size guide and product information before placing an order.

Nothing in this section limits your rights where a product is defective, materially different from its description or otherwise fails to conform to the contract under applicable law.


5. PRICES

Prices are displayed in the currency selected or made available through the Store.

Where required by applicable law, prices displayed to consumers will include applicable taxes.

Depending on the destination country, additional customs duties, import taxes, tariffs, brokerage charges or other government charges may apply.

Where such charges are not collected by BLACKWARD during checkout, they may be payable directly by the customer to customs authorities, carriers or other third parties.

BLACKWARD reserves the right to change product prices at any time before an order is placed.

Changes in price will not affect an order that has already resulted in a binding contract except where permitted by applicable law.


6. PRICING AND WEBSITE ERRORS

We make reasonable efforts to ensure the accuracy of prices and product information.

However, technical, typographical, administrative or system errors may occasionally occur.

If a product is displayed at an obviously incorrect price or contains a material error, BLACKWARD may, where permitted by applicable law, refuse or cancel the affected order before fulfilment.

Where payment has already been taken for a lawfully cancelled order, the relevant amount will be refunded.

Where required by applicable consumer law, we will contact the customer before taking further action.

Nothing in this section permits BLACKWARD to cancel or alter an order in circumstances where applicable law requires the transaction to be honored.


7. PLACING AN ORDER

Products displayed on the Store constitute an invitation to customers to submit an order unless applicable law provides otherwise.

When you submit an order, you are making an offer to purchase the products included in that order.

After submitting the order, you may receive an automatic email confirming that we have received it.

An automated order-receipt email does not necessarily mean that your order has been accepted.

Unless applicable law requires otherwise, our acceptance of your order occurs when the order is confirmed for fulfilment or dispatched.

We reserve the right, where permitted by law, to reject an order before acceptance.

Possible reasons may include:

suspected fraud;

unauthorized or invalid payment;

product unavailability;

incorrect pricing or product information;

suspected unauthorized resale activity;

violation of these Terms;

shipping restrictions;

legal or regulatory restrictions;

or an inability to fulfil the order.

Where an order is cancelled after payment has been collected, BLACKWARD will refund the amount legally owed to the customer.


8. ORDER CANCELLATIONS

We will attempt to accommodate cancellation requests where reasonably possible.

However, once an order has entered processing, fulfilment or shipping, it may no longer be operationally possible to cancel it before dispatch.

This does not affect any statutory right of withdrawal, cancellation or return available under applicable consumer law.

For customers in the European Union, European Economic Area and other jurisdictions granting mandatory cancellation rights, our Refund & Returns Policy applies in addition to these Terms.


9. PAYMENT

Payment must be made using one of the payment methods offered at checkout.

Payment services may be provided by Shopify Payments or other third-party payment providers.

By providing payment information, you represent that you are authorized to use the selected payment method.

You authorize us and our payment providers to charge the total amount shown at checkout, including applicable taxes, shipping costs and other charges properly disclosed before purchase.

BLACKWARD may carry out or rely upon payment verification and fraud-prevention checks before fulfilling an order.

An order may be delayed, refused or cancelled where a payment is declined, unauthorized, reversed or reasonably suspected to be fraudulent, subject to applicable law.


10. FRAUD PREVENTION

BLACKWARD takes payment fraud, chargeback fraud, account abuse and unauthorized transactions seriously.

We may use automated or manual fraud-prevention systems provided by Shopify, payment processors or other service providers.

Where reasonably necessary, we may request additional information to verify an order, identity, delivery address or payment authorization.

We may refuse or cancel transactions reasonably suspected of fraud or unauthorized activity where permitted by applicable law.

Fraudulent activity may be reported to payment providers, financial institutions or competent authorities where legally permitted or required.


11. SHIPPING AND DELIVERY

Shipping destinations, delivery methods, estimated delivery times and applicable charges are described during checkout or in our Shipping Policy.

Delivery times are estimates unless we expressly guarantee a specific delivery date.

BLACKWARD will fulfil orders within the periods required by applicable law.

Delays may occur due to circumstances including customs procedures, carrier delays, adverse weather, strikes, peak periods, incorrect customer information or events outside our reasonable control.

Nothing in these Terms removes any statutory consumer right relating to late or failed delivery.

Our Shipping Policy forms part of these Terms.


12. SHIPPING ADDRESS

Customers are responsible for providing accurate and complete shipping information.

Before placing an order, you should verify your:

full name;

street address;

apartment or unit number;

postal code;

city;

country;

telephone number;

and any other information required for delivery.

We cannot guarantee that an address can be changed once an order has entered fulfilment.

Where a shipment is returned because of an incorrect or incomplete address provided by the customer, failure to collect the package or another circumstance attributable to the recipient, BLACKWARD may recover actual costs where permitted by applicable law.

This does not apply where the delivery failure is attributable to BLACKWARD or where applicable law places responsibility on us.


13. INTERNATIONAL ORDERS, CUSTOMS AND IMPORT CHARGES

BLACKWARD sells internationally where shipping is made available through the Store.

International shipments may be subject to customs clearance, import duties, taxes, tariffs, brokerage charges or other fees imposed by the destination country.

Where such amounts are not collected by BLACKWARD at checkout, the customer may be required to pay them directly.

BLACKWARD does not control charges imposed independently by customs authorities or other third parties.

Customers are responsible for ensuring that products they purchase may lawfully be imported into their destination country.

However, nothing in this section transfers obligations to the customer that applicable consumer, customs or product-safety law places on BLACKWARD.


14. RISK OF LOSS AND OWNERSHIP

For consumers in jurisdictions including the European Union, risk in the goods will transfer in accordance with mandatory applicable consumer law.

Where mandatory consumer law provides that risk remains with the trader until the consumer or a designated third party physically receives the goods, these Terms do not alter that protection.

For transactions not subject to mandatory consumer rules, risk and ownership will transfer as provided by the applicable law and shipping arrangement.


15. RETURNS, WITHDRAWAL AND REFUNDS

Returns, cancellations, withdrawals and refunds are governed by our Refund & Returns Policy.

Customers in jurisdictions providing a mandatory right of withdrawal, including eligible consumers in the European Union and European Economic Area, retain those statutory rights.

BLACKWARD does not waive or restrict rights that cannot legally be waived.

Where local law does not provide a mandatory change-of-mind return right, BLACKWARD's published Refund & Returns Policy will determine whether a voluntary return is accepted.


16. DEFECTIVE OR NON-CONFORMING PRODUCTS

Nothing in these Terms limits statutory rights relating to defective, damaged, unsafe, incorrect or non-conforming goods.

Where legally required, consumers may be entitled to remedies including repair, replacement, price reduction or refund.

The remedy available will depend on applicable law and the circumstances of the claim.

We may reasonably request photographs, videos or other information necessary to evaluate the issue, provided this does not impose an unlawful barrier to exercising statutory rights.


17. AVAILABILITY

Products may be offered in limited quantities.

Placing an item in a shopping cart does not reserve stock unless expressly stated otherwise.

A product may become unavailable before an order is accepted.

Where BLACKWARD cannot fulfil an accepted order, we will notify the customer and provide the remedy required by applicable law.


18. SALES, PROMOTIONS AND DISCOUNT CODES

BLACKWARD may offer sales, promotions, discount codes or special offers from time to time.

Promotions may be subject to additional conditions disclosed at the time of the promotion.

Unless otherwise stated or required by law:

discount codes may not be combined;

discount codes have no cash value;

discounts cannot be applied retrospectively to completed purchases;

promotions may be limited to specific products, territories or periods;

and promotional quantities may be limited.

BLACKWARD may cancel or refuse the use of discount codes obtained or used fraudulently, unlawfully or in violation of the applicable promotional conditions.

Nothing in this section limits mandatory rules relating to price reductions or consumer advertising.


19. RESALE

Unless otherwise agreed in writing, products sold through the Store are intended primarily for personal use.

BLACKWARD may limit or refuse orders reasonably suspected of being placed for unauthorized commercial resale, stockpiling, automated purchasing or circumvention of purchase limits.

This provision does not prevent lawful resale rights that cannot legally be restricted.


20. ACCOUNTS

Certain Store features may allow customers to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account to the extent permitted by law.

You must provide information that is current, complete and accurate.

You must notify BLACKWARD if you reasonably believe your account has been compromised.

BLACKWARD may suspend or restrict an account where reasonably necessary for security, fraud prevention or enforcement of these Terms.

Any suspension will not remove existing consumer rights relating to purchases already made.


21. INTELLECTUAL PROPERTY

Unless otherwise stated, all content appearing on the Store is owned by, licensed to or lawfully used by BLACKWARD.

This may include:

trademarks;

graphics;

designs;

photographs;

videos;

product imagery;

website layouts;

text;

copy;

artwork;

icons;

software;

and other content.

Such materials are protected by applicable intellectual property laws.

You may access the Store for personal and lawful purposes.

You may not, without prior written authorization from BLACKWARD or the relevant rights holder:

copy;

reproduce;

republish;

distribute;

sell;

license;

modify;

create derivative works from;

commercially exploit;

scrape;

systematically extract;

or otherwise misuse protected Store content,

except where applicable law expressly permits such activity.


22. BLACKWARD TRADEMARKS AND BRANDING

The BLACKWARD name, logos, designs, graphics and other distinctive brand elements may constitute trademarks, trade names, copyright works or other protected intellectual property.

Nothing in these Terms grants you ownership of or a license to use BLACKWARD intellectual property for commercial purposes.

Unauthorized use, reproduction or imitation may result in appropriate legal action.


23. USER CONTENT, REVIEWS AND SUBMISSIONS

Where the Store allows you to submit reviews, photographs, comments, feedback or other content, you retain ownership of rights you legally hold in that content.

By submitting content to BLACKWARD, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, adapt and publish that content for operating, promoting and improving BLACKWARD, to the extent permitted by applicable law.

You represent that you have the rights necessary to submit such content.

You must not submit content that is:

unlawful;

fraudulent;

defamatory;

threatening;

infringing;

obscene;

malicious;

misleading;

or otherwise violates the rights of another person.

BLACKWARD may moderate or remove user content where reasonably necessary and legally permitted.

We will not knowingly present fake consumer reviews or falsely represent reviews as coming from verified purchasers where doing so would violate applicable law.


24. PROHIBITED USES

You may not use the Store:

for unlawful purposes;

to solicit others to perform unlawful acts;

to infringe intellectual property rights;

to harass, abuse, threaten or discriminate unlawfully;

to submit false or misleading information;

to upload malicious software;

to transmit viruses or harmful code;

Nothing in this provision limits BLACKWARD's responsibility for obligations that applicable consumer law places directly on the seller.

The Store may contain links to websites or services operated by third parties.

Such links do not necessarily constitute endorsement.

BLACKWARD does not control independent third-party websites and is not responsible for their content, security or privacy practices except where applicable law provides otherwise.

Personal information processed through the Store is handled in accordance with our Privacy Policy and applicable data protection legislation.

Our Store is powered by Shopify, which also processes certain customer information in connection with providing its services.

However, nothing in these Terms excludes any statutory warranty, guarantee, conformity requirement or consumer protection that cannot legally be excluded.

BLACKWARD does not exclude responsibility for ensuring that goods satisfy mandatory legal requirements applicable to the contract.

Any disclaimer in these Terms applies only to the maximum extent permitted by applicable law.


32. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, BLACKWARD will not be liable for indirect, incidental or consequential losses that were not reasonably foreseeable at the time the contract was entered into and that arise solely from circumstances for which BLACKWARD is not legally responsible.

However, NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHERE SUCH EXCLUSION OR LIMITATION WOULD BE UNLAWFUL.

In particular, nothing in these Terms excludes or restricts liability for:

fraud or fraudulent misrepresentation;

death or personal injury caused by negligence where liability cannot legally be excluded;

intentional misconduct;

mandatory product liability;

mandatory consumer rights;

or any other liability that applicable law does not permit us to exclude.

For consumers, statutory rights remain unaffected.


33. CUSTOMER RESPONSIBILITY

Customers must use products in a reasonable manner and follow any care, washing, use or safety instructions provided with the product.

BLACKWARD is not responsible for damage caused solely by improper use, misuse, unauthorized alteration, failure to follow reasonable care instructions or ordinary wear and tear where applicable law does not impose responsibility on us.

This provision does not apply where damage results from an underlying defect or lack of conformity for which BLACKWARD is legally responsible.


34. FORCE MAJEURE AND EVENTS OUTSIDE OUR CONTROL

BLACKWARD will not be responsible for a failure or delay caused by events outside our reasonable control to the extent permitted by applicable law.

Such events may include:

natural disasters;

extreme weather;

war;

terrorism;

civil unrest;

government actions;

epidemics or pandemics;

industrial disputes;

transport disruption;

customs disruption;

internet or telecommunications failures;

carrier interruptions;

or major infrastructure failures.

Where such circumstances prevent fulfilment for a prolonged period, the customer will retain any cancellation, refund or other rights provided by applicable law.


35. INDEMNIFICATION

If you use the Store for commercial purposes, or engage in unlawful activity, you agree, to the extent permitted by applicable law, to indemnify BLACKWARD against reasonable losses, liabilities and costs directly resulting from your unlawful conduct, infringement of third-party rights or material breach of these Terms.

This clause does not impose liability on consumers beyond what may lawfully be imposed under applicable consumer law.


36. SEVERABILITY

If any provision of these Terms is determined by a competent authority or court to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary.

Where appropriate, the invalid provision will be severed from these Terms.

The remaining provisions will continue in effect to the extent legally possible.


37. NO WAIVER

If BLACKWARD does not immediately enforce a provision of these Terms, that does not automatically constitute a waiver of the right to enforce it later.

Any waiver will apply only to the specific circumstances in which it is given unless expressly stated otherwise.


38. TRANSFER OF RIGHTS

BLACKWARD may transfer rights or obligations relating to the operation of the business as part of a legitimate business transfer, restructuring, merger or sale, provided that doing so does not unlawfully reduce consumer rights.

Consumers may transfer their contractual rights where applicable law allows them to do so.


39. ENTIRE AGREEMENT

These Terms, together with our:

Refund & Returns Policy;

Privacy Policy;

Shipping Policy;

Legal Notice;

and any additional terms expressly applicable to a purchase,

constitute the agreement governing use of the Store and purchases made through it.

Where specific promotional or product terms conflict with these general Terms, the more specific terms will apply to that particular matter, subject to mandatory law.


40. CHANGES TO THESE TERMS

BLACKWARD may update these Terms from time to time to reflect:

changes in law;

changes in our services;

changes in technology;

changes in payment or delivery systems;

security requirements;

or changes to our business.

The version applicable to a purchase will generally be the version in force when the relevant order is placed, unless applicable law provides otherwise.

Material changes will not retroactively deprive customers of contractual rights already acquired.

41. GOVERNING LAW

These Terms and contracts entered into through the Store are governed by the laws of Spain, subject to any mandatory consumer protection laws that apply to the customer.

If you are a consumer residing in the European Union, European Economic Area, United Kingdom or another jurisdiction whose mandatory consumer law provides additional protections, the choice of Spanish law does not deprive you of those mandatory protections.


42. JURISDICTION AND DISPUTES

For consumers, any dispute will be subject to the courts and dispute-resolution rules determined by mandatory applicable consumer law.

Nothing in these Terms requires a consumer to bring a claim exclusively before a court in Spain where applicable law grants the consumer the right to bring proceedings in another competent jurisdiction, including the consumer's place of residence.

For transactions with businesses or professional customers that are not acting as consumers, and where legally permitted, the parties submit to the competent courts of Castellón, Spain.

Nothing in this section prevents either party from using an alternative dispute resolution mechanism where available, agreed or required by law.


43. MANDATORY CONSUMER RIGHTS

Nothing in these Terms is intended to exclude, waive, restrict or replace any right or remedy granted to consumers by mandatory law.

If a provision of these Terms conflicts with a mandatory consumer protection rule applicable to a particular customer or transaction, the mandatory rule will prevail only to the extent required to resolve that conflict.

This principle applies regardless of whether the customer is located in Spain, another European Union Member State, the United Kingdom, the United States or another jurisdiction in which BLACKWARD offers products.


44. RELATIONSHIP WITH SHOPIFY

The Store is hosted by Shopify.

Shopify provides the technological platform through which BLACKWARD operates its online store.

Shopify is not the seller of BLACKWARD products.

The purchase contract for goods sold through the Store is between the customer and:

46. FINAL PROVISION

By using the Store or placing an order, you acknowledge that you have had the opportunity to review these Terms and the policies incorporated into them.

Your acceptance of these Terms does not constitute a waiver of any mandatory statutory consumer right.

These Terms shall be interpreted in a manner consistent with applicable consumer protection, e-commerce, privacy and contract law.
